Warrants on your payslip: how do you process the VAA and payroll tax?

For a company director, warrants and stock options constitute a taxable benefit in kind (Voordeel van Alle Aard - VAA). What amount appears on your payslip, when, and how much payroll tax (bedrijfsvoorheffing) is withheld?

Warrants on your payslip: how do you process the VAA and payroll tax?

Warrants and stock options can constitute a taxable benefit in kind (Voordeel van Alle Aard - VAA) for a Belgian company director. Under the stock option law, this benefit is generally taxed on the sixtieth day after the offer, provided there is timely written acceptance. The payroll tax (bedrijfsvoorheffing) must be calculated according to the applicable rules: 53.5% is not an automatic rate for every plan.

You want to know what amount appears on your payslip, when that happens, and what impact it has on your disposable private income. What amount appears as VAA on your payslip?

The benefit in kind (VAA) is the taxable value of the benefit you receive via warrants or stock options. This value is not necessarily equal to the purchase price or the later selling price.

The valuation method depends, among other things, on the type of option and whether it is listed on the stock exchange. Therefore, have the VAA determined based on the documentation of the specific plan.

Example: if the determined VAA is €700, then €700 is processed as a taxable benefit. This does not mean you receive an additional €700 in cash salary.

When are warrants processed on the payslip?

For options falling under the law of March 26, 1999, the sixtieth day after the offer counts as the fiscal attribution moment, provided the offer has been accepted in writing within that period.

If that day falls in October? Then the benefit belongs to the payroll processing for October. Not automatically for November.

Therefore, provide the offer date, the written acceptance, and the VAA calculation to your accountant or social secretariat in a timely manner.

How much payroll tax (bedrijfsvoorheffing) do you pay on warrants?

A distinction applies for the calculation:

The applicable percentage must be determined within these rules. Therefore, merely mentioning 'warrants' does not automatically justify a withholding of 53.5%.

If 53.5% is correct for your situation, the calculation looks like this:

That €374.50 is the withholding tax in this example. It is not a calculation of the full net profit or the net return of the warrant plan.

Is a separate payslip needed for warrants?

A separate calculation and a separate payslip are different matters. When the social secretariat proposes a separate payslip, ask whether this results from their software, their administrative procedures, or a specific legal obligation.

For you as a company director, the correct taxable value, the correct month, and the correct withholding are paramount. Ideally, the warrant plan also fits within a well-considered payroll policy, as discussed in our article on "loonpolicy".

Why should you look at the full remuneration package?

A warrant plan influences your total remuneration. Therefore, have your accountant prepare an annual overview of your "totale bezoldiging":

Payroll tax (bedrijfsvoorheffing) is an advance payment on your final personal income tax (personenbelasting). At the tax settlement, the withholdings are offset. A high withholding percentage on one benefit therefore does not tell you how much tax you ultimately pay on your total annual income.

An annual calculation helps you plan future tax payments and your private budget. It does not replace the prescribed calculation rules for the payroll tax (bedrijfsvoorheffing) on the option benefit. Frequently asked questions about warrants and the payslip

Is €700 VAA the same as €700 tax?

No. €700 VAA is the taxable value of the benefit. The payroll tax (bedrijfsvoorheffing) is calculated on this basis according to the applicable rules.

Are all warrants taxed at 53.5%?

No. That percentage is not a universal rate for every warrant plan. Moreover, you must distinguish a payroll tax (bedrijfsvoorheffing) withholding from the final personal income tax (personenbelasting).

Can I simply add the VAA to my monthly salary?

The benefit is included in your taxable remuneration. This does not mean that you can simply apply the ordinary monthly payroll tax (BV) calculation to the full amount. Specific rules apply to the option benefit.

Does the sixty-day period start upon acceptance?

No. For the discussed regulation, it is calculated from the offer. The written acceptance must occur within that period.

Who provides the data to the social secretariat?

Agree on this in advance between the plan provider, the accountant, and the social secretariat. Determine who provides the VAA calculation, the relevant dates, and the instructions for payroll processing.
